LaVendor Terms of Service

1. Eligibility and Authority

You represent and warrant that you have the legal capacity and authority to enter into these Terms and to use the service on your own behalf or on behalf of the business or organization you represent.

2. User Responsibility

• You are solely responsible for the data, contacts, guest lists, content, and communications you upload, manage, or send through the service.
• You are solely responsible for ensuring that you have all rights, permissions, notices, and lawful bases required to collect, store, import, and contact individuals.
• You are solely responsible for compliance with all laws, regulations, platform policies, privacy requirements, consent requirements, and messaging rules applicable to your use of the service.
• Any service, product, menu, ingredient, beverage, or other offering listed, promoted, or provided in the food and drink category must be kosher.

3. Third-Party Services

The service may rely on third-party providers and external platforms, including hosting, authentication, messaging, and contact import services. We do not control third-party systems and are not responsible for third-party acts, omissions, outages, restrictions, suspensions, content moderation decisions, delivery failures, policy enforcement, account reviews, or changes in third-party APIs or terms.

4. No Guarantee of Delivery, Availability, or Outcome

We do not guarantee uninterrupted availability, message delivery, message timing, response rates, RSVP accuracy, business outcomes, commercial results, lead quality, event attendance, search ranking, or compatibility with every device, browser, integration, or third-party platform.

The service is not active during Shabbat and may be unavailable from Friday before Shabbat until Saturday night. During this time, the website, platform features, messaging workflows, RSVP tools, vendor search, and related services may be paused or inaccessible.

5. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Without limiting the foregoing, we disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, uninterrupted availability, and error-free operation.

6. Vendors, Fraud, and Limitation of Liability

The service may allow users to discover, contact, communicate with, or receive information about independent vendors, suppliers, service providers, businesses, or other third parties. Such vendors and third parties are independent from us. We are not a party to any agreement, negotiation, payment, booking, service delivery, representation, warranty, dispute, or other interaction between users and vendors, unless we expressly state otherwise in writing.

We may use manual review, automated tools, content moderation, reporting mechanisms, account restrictions, vendor approval processes, or other measures intended to reduce fraud, scams, unlawful content, misleading listings, inappropriate vendors, or other harmful conduct. These measures are provided to improve trust and safety, but they are not a guarantee that all problematic vendors, scams, fraud, inaccurate information, unsafe conduct, or unlawful activity will be detected, blocked, removed, or prevented.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ARE SOLELY RESPONSIBLE FOR EVALUATING, VERIFYING, AND DECIDING WHETHER TO COMMUNICATE WITH, HIRE, PAY, MEET, OR OTHERWISE ENGAGE WITH ANY VENDOR OR THIRD PARTY. LAVENDOR AND EVENTAI SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, INJURY, CLAIM, DISPUTE, FRAUD, SCAM, MISREPRESENTATION, NON-PERFORMANCE, POOR PERFORMANCE, PAYMENT ISSUE, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER HARM ARISING OUT OF OR RELATING TO ANY VENDOR, THIRD-PARTY SERVICE PROVIDER, USER TRANSACTION, OR OFF-PLATFORM INTERACTION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAVENDOR, EVENTAI, AND THEIR AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.

Some jurisdictions do not allow certain exclusions or limitations of liability, so parts of the above may not apply to the extent prohibited by applicable law.

7. Indemnification

You agree to defend, indemnify, and hold harmless LaVendor, EventAI, and their affiliates, owners, officers, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your access to or use of the service.
• Your content, data, contacts, guest lists, imports, messages, invitations, media, or communications.
• Your violation of these Terms, applicable law, third-party rights, messaging rules, privacy obligations, or platform policies.
• Any allegation that you lacked permission or lawful basis to collect, upload, store, use, or contact any individual.

8. Suspension and Termination

We may suspend, restrict, remove, or terminate access to all or part of the service at any time, with or without notice, if we believe such action is necessary to protect the service, comply with law, respond to risk, investigate misuse, or address violations of these Terms or third-party platform rules.

9. Governing Law and Forum

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Subject to applicable law, the competent courts located in Tel Aviv-Jaffa, Israel shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.

10. Changes

We may update these Terms from time to time by publishing an updated version on this page. Continued use of the service after an update becomes effective constitutes acceptance of the updated Terms.
